We offer sell-side and buy-side advisory, exit planning, and early-stage investment guidance. All content, tools, and resources on whitebearllc.com are intended for informational purposes only and are the proprietary intellectual property of White Bear Capital LLC.
Our website does not provide client logins or subscription-based services. Any inquiries made through the website do not constitute a formal advisor-client relationship. Use of this site is subject to these Terms of Service and applicable laws.

No Resale of Service
You agree not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposed, any portion of the Service, use of the Service, or access to the Service.

Confidentiality
For the purposes of agreement, Confidential Information shall include the Service, the User Data, and any accompanying or related documentation. Confidential Information does not include information which is:

During the term of this Agreement and for a period of five (5) years after its termination or expiration, the Parties agree they shall not disclose any of the Confidential Information in any manner whatsoever, except as provided in subparagraphs (b) and (c) below, and shall hold and maintain the Confidential Information in strictest confidence.

A party may disclose Confidential Information to such party's directors, officers, employees, agents; and financial, legal, other advisors and affiliates (collectively, Representatives) with a bona fide need to know such Confidential Information, but only to the extent necessary to evaluate or carry out the terms of this Agreement and only if such Representatives are advised of the confidential nature of such Confidential Information and the terms of this Agreement and are bound by a written agreement or by a legally enforceable code of professional responsibility to protect the confidentiality of such Confidential Information. Further, the Parties acknowledge and agree that nothing in agreement shall prohibit the collection, compilation and distribution of any Compiled Data by White Bear Capital in accordance with this Agreement.

A party may disclose Confidential Information if and to the extent that such disclosure is required by court order, provided that such party provides the other party a reasonable opportunity to review the disclosure before it is made and to interpose its own objection to the disclosure.

The Confidential Information is being disclosed to the Parties and the Parties receive the Confidential Information solely for the purpose stated herein and specifically agree not to use the Confidential Information for any other purpose.
Disclaimer
Exclusions and Limitations
The information on this web site is provided on an “as is“ basis. To the fullest extent permitted by law, White Bear Capital:

Termination of Agreements and Refunds Policy
White Bear Capital may discontinue, suspend, or terminate any advisory engagement or client relationship at its sole discretion, with reasonable notice, in accordance with the terms outlined in a mutually agreed engagement letter or service agreement. Likewise, clients may terminate their engagement with White Bear Capital by providing written notice, subject to any terms or obligations stated in the engagement agreement.
Fees for advisory services are typically project-based and agreed upon in advance. Unless otherwise stated in writing, all fees are non-refundable once services have commenced. White Bear Capital is not obligated to retain or store client information following termination, except as required by law or regulatory compliance.
Log Files
We use IP addresses to analyse trends, administer the site, track user's movement, and gather broad demographic information for aggregate use. IP addresses are not linked to personally identifiable information. Additionally, for systems administration, detecting usage patterns and troubleshooting purposes, our web servers automatically log standard access information including browser type, access times/open mail, URL requested, and referral URL. This information is not shared with third parties and is used only within this Company on a need-to-know basis. Any individually identifiable information related to this data will never be used in any way different to that stated above without your explicit permission.

Force Majeure
Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or man made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavours to comply with the terms and conditions of any Agreement contained herein.
Waiver
Failure of either Party to insist upon strict performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, he or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.
